Terms of Service

Please review our terms for using the Droppin platform.

1. Acceptance of Terms

By accessing, downloading, installing, or using the Droppin mobile application ("App") or any services provided through the App (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Services.

These Terms constitute a legally binding agreement between you and LynxSphynx Co. ("Company", "we", "us", or "our"). We reserve the right to modify these Terms at any time. Your continued use of the Services following any modifications constitutes your acceptance of the revised Terms.

2. Description of Services

LynxSphynx Co. operates a digital platform that connects passengers ("Riders") with bus and shuttle operators ("Drivers") for scheduled group transportation services within Ghana.

As a Rider, the App enables you to:

• Browse and search for available scheduled trips

• Book seats on trips operated by registered Drivers

• Make secure payments via Mobile Money or card

• Track your booked trips in real-time

• Rate and review Drivers after completed trips

You acknowledge that LynxSphynx Co. does not operate transportation services directly. All transportation services are provided by independent third-party Drivers using the platform.

3. Account Registration and Eligibility

To use the Services, you must:

• Be at least 18 years of age

• Provide accurate, current, and complete registration information

• Maintain the security of your account credentials

• Promptly update any changes to your account information

• Accept responsibility for all activities that occur under your account

You represent and warrant that all information you provide during registration is accurate and complete. We reserve the right to suspend or terminate accounts that contain false or misleading information.

You agree to notify us immediately of any unauthorized use of your account or any other security breach. LynxSphynx Co. will not be liable for any loss arising from your failure to safeguard your account credentials.

4. User Conduct and Responsibilities

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:

• Violate any applicable laws, regulations, or ordinances

• Infringe upon the rights of others, including intellectual property rights

• Transmit any harmful, threatening, abusive, or harassing content

• Attempt to gain unauthorized access to any part of the Services

• Interfere with or disrupt the integrity or performance of the Services

• Collect or harvest any information from other users without consent

• Use the Services for any fraudulent or deceptive purpose

• Impersonate any person or entity or misrepresent your affiliation

As a Rider, you additionally agree to:

• Arrive at pickup locations on time as scheduled

• Present valid booking confirmation (QR code or booking code) when required

• Treat Drivers and other passengers with courtesy and respect

• Not engage in any behavior that endangers yourself, the Driver, or other passengers

• Comply with reasonable instructions from the Driver during the trip

• Not consume alcohol or drugs during the trip without Driver permission

• Report any safety concerns or incidents to LynxSphynx Co. promptly

5. Booking, Payment, and Cancellation

**Booking and Payment**

When you book a trip, you agree to pay the total amount displayed, which includes:

• The base fare set by the Driver

• A platform service fee of 10%

• Any applicable taxes or surcharges

Payment must be made in full at the time of booking through our supported payment methods (Mobile Money or Card). Your booking is confirmed only upon successful payment, at which point you will receive a booking confirmation with a unique QR code.

**Cancellation Policy**

You may cancel your booking subject to the following refund policy:

• More than 24 hours before departure: Full refund

• Between 12 and 24 hours before departure: 50% refund

• Less than 12 hours before departure: No refund

Refunds are processed to the original payment method within 5-7 business days.

**Trip Cancellations by Driver**

If a Driver cancels your trip, you will receive:

• Automatic full refund to your original payment method

• Notification via the App and email/SMS

LynxSphynx Co. is not responsible for any additional costs or inconvenience caused by Driver cancellations but will assist in finding alternative transportation where possible.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LYNXSPHYNX CO., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages

• Any loss of profits, revenue, data, or goodwill

• Any personal injury or property damage arising from your use of the Services

• Any unauthorized access to or use of our servers or any personal information stored therein

• Any interruption or cessation of transmission to or from the Services

• Any bugs, viruses, or other harmful code that may be transmitted through the Services

• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, transmitted, or otherwise made available via the Services

You acknowledge that LynxSphynx Co. does not provide transportation services and is not responsible for the acts or omissions of any Driver. You travel at your own risk.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT PAID BY YOU TO LYNXSPHYNX CO. IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

7. Indemnification

You agree to indemnify, defend, and hold harmless LynxSphynx Co., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Services

• Your violation of any term of these Terms

• Your violation of any third-party right, including any intellectual property or privacy right

• Any claim that your content caused damage to a third party

• Any dispute between you and a Driver

8. Intellectual Property

The Services and all contents, including but not limited to text, images, graphics, logos, icons, audio clips, software, and compilations thereof, are the exclusive property of LynxSphynx Co. or its licensors and are protected by Ghana and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes. You may not:

• Copy, modify, or distribute any part of the Services

• Reverse engineer or attempt to extract the source code

• Use the Services to create any competing product or service

• Remove any copyright or proprietary notices from the Services

9. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall be resolved as follows:

**Informal Resolution**

Before initiating any formal dispute resolution procedure, you agree to first contact us at legal@droppin.website to attempt to resolve the dispute informally.

**Governing Law**

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law provisions.

**Jurisdiction**

Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts of Ghana, and you consent to the personal jurisdiction of such courts.

10. Termination

LynxSphynx Co. may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms

• Fraudulent or illegal activity

• Behavior harmful to other users, Drivers, or the platform

• Failure to maintain required documentation (for Drivers)

Upon termination:

• Your right to use the Services will immediately cease

• Any outstanding payments owed to you will be processed according to our standard procedures

• Any unused bookings may be subject to our refund policy

• We may retain certain information as required by law or for legitimate business purposes

11. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes:

• We will notify you through the App or via email

• The updated Terms will be posted with a new "Last Updated" date

• Your continued use of the Services after any changes constitutes acceptance of the new Terms
